TINPAN.AI TERMS OF SERVICE

Version 2.1 · Effective date: October 22, 2026

These Terms govern your use of Tinpan.ai and related Tinpan applications and services (together, "Tinpan"). Tinpan is operated by Tinpan Inc., a Delaware corporation ("Tinpan," "we," "us"). When you create an account, the clickwrap immediately above the Create Account control states that clicking Create Account means you agree to these Terms and acknowledge the Privacy Policy; Tinpan records the version accepted, timestamp, and IP address. If you drop a song, the Tinpan Submission Agreement also applies and is incorporated into these Terms; accepting the Submission Agreement also constitutes contemporaneous, recorded affirmative acceptance of these Terms and the §21 Arbitration Agreement. If the Submission Agreement conflicts with these Terms about a submitted song, the Submission Agreement controls. Desks are additionally governed by the Desk Terms.

1. What Tinpan is.

Tinpan is a marketplace and discovery platform for compositions, not recordings. Songwriters submit human-written songs, demonstrated with recordings that may be AI-generated, to a page naming whoever or whatever the song was written for -- an artist, a project, a company, a brand, a show, or any other named destination ("buckets"). A song has one destination page at most, and may additionally be entered into any number of open calls ("briefs") without leaving that page. Signed-in members play either a 30-second clip or the full song, and every play is logged; members may also place a bet on a song. Verified music professionals ("desks") claim a page, and only a desk may place a hold. Tinpan is passive software infrastructure: it transmits messages and provides a dashboard. Tinpan does not evaluate deal terms, advocate, broker, acquire, or sell submitted compositions or recordings. Tinpan is not a record label, publisher, talent agency, employment service, agent, lawyer, manager, or fiduciary. Tinpan does not procure, offer, promise, or attempt to procure employment or engagements. Any future publishing or administration service will be offered only under a separate written agreement by a separately identified entity.

Briefs. A brief is an independent demand opportunity and may exist with or without a page. Writers may enter eligible songs and may withdraw an entry. Withdrawal ends the poster's current evaluation authority over that entry; re-entry begins a new evaluation episode. Closing a brief ends new submissions but does not erase its history or the poster's permitted evaluation of entries that remain live. An inquiry is electronic message routing, not agency solicitation or a representation by Tinpan that any person has expressed interest. Historical records may be retained for provenance, safety, dispute resolution, and platform integrity.

If you supply an organization, label, company, or brand name in connection with a brief or demand call ("posted_label"), you represent and warrant that you possess actual corporate authority to represent and publish opportunities on behalf of that entity. Misrepresenting affiliation or authority is grounds for immediate termination, permanent blacklisting, and full indemnification of Tinpan under § 20.

Organization names displayed on brief bylines are user-provided designations. Unless accompanied by an official "Verified Enterprise" badge, Tinpan does not verify, warrant, or certify that the brief is authorized or funded by the named organization.

2. Eligibility and accounts.

You must be at least 18 years old to use Tinpan, and by registering you represent that you are and have the legal capacity to contract. You are responsible for your account, for keeping your credentials confidential, and for everything done under your account. Account sharing is prohibited; this matters especially for desks, whose access is personal to the verified individual. Notify us immediately at hello@tinpan.ai if you suspect unauthorized use. We may refuse, suspend, or terminate accounts as described in §16.

3. Roles.

  • Writers submit songs ("drops") under the Submission Agreement.
  • Listeners hear songs and place bets.
  • Desks are accounts we have verified as belonging to a professional connected to a specific artist (such as A&R, management, or the artist's team). Desk status is scoped to the claimed page, is personal and non-transferable, and may be revoked at our discretion, including when the professional relationship ends.

Verification, defined mechanically. Verification means only that Tinpan completed the verification procedures identified for that verification tier at the time of verification. It does not mean Tinpan has confirmed that a desk has authority to bind any artist, label, publisher, manager, or other person, and a desk cannot bind an artist by claiming a bucket, streaming a song, or placing a hold. We do not warrant the identity, authority, conduct, or continued affiliation of any user beyond the verification we expressly perform, and you acknowledge that you bear the risks inherent in making your material available to other users.

4. Bets, signals, and sorting.

Bets and the resulting order of songs are platform signals, not factual judgments. They do not represent an objective assessment of quality, commercial viability, ownership, originality, or likelihood of placement. Tinpan publishes charts of songs and ranks of listeners. Both are computed under rules published at the time and may change prospectively; a published rule never rewrites a past result. Tinpan does not sell placement on any chart or rank, and payment to Tinpan never affects either. Tinpan may adjust sorting and filter fraudulent or manipulative activity. Tinpan retains discretion over sorting methods, bet eligibility, anti-fraud adjustments, removal of bets, recalculation or resetting of any internal score, what is displayed, and experimentation with any of the above. Position on a page cannot be bought, and we do not promise a stable sorting methodology.

5. The listen log and platform records.

When any account streams a song, the play is logged. When a desk streams a song, the writer is informed that a qualifying playback occurred, by role and verification tier. Holds, passes, bets, submissions, brief entries and withdrawals of them, withdrawals, and deal-related events are recorded with timestamps. By using Tinpan you consent to this logging and to the disclosures described in the Privacy Policy.

Platform records are internal operational records maintained by Tinpan in connection with operating, securing, documenting, and improving the service. A logged stream reflects that Tinpan recorded a qualifying playback event under its then-current technical criteria; it does not establish how much of a song a person heard, whether they paid attention, or what conclusions they reached. Logs may contain errors and timestamps may be approximate. Platform records do not prove authorship, access outside Tinpan, copying, infringement, authority, or contractual acceptance unless Tinpan expressly states otherwise, and they are not certifications of anything that happened outside Tinpan; this does not limit the effect of Tinpan's records of your acceptance of these Terms and other platform agreements. Tinpan may retain records after content deletion or account closure where reasonably necessary for security, fraud prevention, legal compliance, provenance, or dispute resolution.

6. Submissions are not confidential.

Songs and ideas submitted through Tinpan are not confidential. You understand that Tinpan, desks, artists, producers, and third parties may already possess, be developing, or independently receive similar material, and that access to a submission does not create an inference of copying. Tinpan does not undertake to police similarity among submissions or between submissions and later-released works. Except for obligations expressly assumed in writing, submission creates no fiduciary, confidential, implied-in-fact, agency, or other special relationship with Tinpan, any artist, or any desk. The Submission Agreement's provisions on similarity, releases, and idea submission apply to every drop and are reinforced, not narrowed, by this section.

7. Accuracy of information; splits.

All information you provide — identity, role, affiliations, authorship, co-writers, splits, publisher or administrator status, PRO affiliations, AI-generation details, and metadata — must be accurate, and you represent that you have authority to provide it. Tinpan does not independently verify ownership, authorship, or songwriting splits unless it expressly states otherwise in writing.

8. The Human-Written Standard; digital replicas.

Tinpan Human-Written Standard, Version 2. A composition qualifies as human-written when one or more named human writers exercise creative control over the submitted composition and author, in whole or in material part, its lyrics or its principal vocal melody. AI tools may be used for the remainder of the writing and for production, arrangement, instrumentation, sound design, mixing, mastering, vocal rendering, demo performance, transcription, and editing. A composition does not qualify if an AI system generated both the final lyrics and the principal vocal melody and the submitting writer adopted them without materially creating or rewriting either. The writer must disclose AI use at drop through the provenance attestation. Tinpan may request creation information and may remove or reclassify a submission that does not satisfy this standard. Tinpan does not determine copyrightability. The version of this standard in effect at drop applies to that drop.

Digital replicas. You may not upload any unauthorized digital replica, vocal clone, or synthesized imitation of a deceased personality's voice (Cal. Civ. Code § 3344.1; AB 1836). You also represent that no demo you upload contains an unauthorized imitation, clone, or digital replica of any identifiable person's voice or performance (including under California Civil Code §§3344 and 3344.1, AB 1836, AB 2602, and any similar law), and that no demo is presented so as to mislead anyone that a real artist performed it. Where a demo lawfully contains an authorized replica, you must disclose it at upload and provide documentation of authorization on request. Tinpan does not certify the copyrightability or legal status of AI-generated material.

9. Acceptable use.

You agree not to:

  • upload material you lack rights to submit, including recordings containing another person's performance, sampled recordings, or unauthorized digital replicas or voice clones;
  • impersonate any person, artist, artist team member, or Tinpan, or misrepresent your identity, role, or professional affiliation, including in desk verification;
  • attempt to access full-length audio, private data, or functions your role does not permit; probe, scrape, rip, or circumvent technical or access controls;
  • scrape, harvest, or extract audio, stems, lyrics, or metadata from Tinpan, or use Tinpan or anything obtained from it to develop, train, test, or fine-tune AI or machine-learning models;
  • use bots, multiple accounts, bet manipulation, or coordinated activity to distort sorting;
  • harass other users, or use Tinpan to send spam or unsolicited commercial messages;
  • upload malicious code or interfere with the operation of the platform;
  • use Tinpan where prohibited by applicable sanctions or export-control laws, or otherwise violate any applicable law.

10. Names and buckets.

A name on a bucket -- a person, group, project, company, brand, show, or anything else -- is used solely to identify who or what users say a song was written for, or who or what they wish to pitch it to. Tinpan is an independent intermediary and is not affiliated with, sponsored by, or endorsed by anyone or anything whose name appears on a bucket. The existence, size, or activity of a bucket does not mean the named party is aware, involved, or interested. Marks render as plain text; Tinpan does not display logos or trade dress, and no imagery, trademark, or likeness rights are licensed by the appearance of a name. Unclaimed buckets carry an "unofficial" label. Pages naming deceased personalities are artistic style references, not authorized by any estate. Tinpan may rename, merge, restrict, or remove buckets at its discretion.

If you are named on a bucket, or are an artist, estate, trademark proprietor, heir, or authorized representative of whoever or whatever is named, and object to a bucket or content bearing that name — including on right-of-publicity, trademark, or endorsement grounds — contact hello@tinpan.ai. This is an expedited process separate from copyright notices under §11: we will review promptly upon verified request and may modify, rename, restrict, or remove disputed buckets or content without requiring formal legal process.

If you are the estate, heir, or authorized representative of a deceased personality named on a page pursuant to California Civil Code § 3344.1, notify hello@tinpan.ai. Tinpan will immediately review and rename, merge, or remove the page upon verified request.

11. Copyright complaints.

Tinpan responds to notices under the Digital Millennium Copyright Act. Full procedures, notice and counter-notice requirements, and our repeat-infringer policy appear in the Tinpan Copyright Policy. Send notices to our designated agent: Copyright Agent, Tinpan Inc., hello@tinpan.ai.

12. Deals, fees, and Tinpan's role.

A Hold is a creator-granted bilateral option between the writer and the desk, facilitated by Tinpan's software. Tinpan holds no rights, options nothing, and has no authority to grant or revoke exclusivity on its own behalf. A Hold has only the meaning given to it in the Submission Agreement; it is not an offer, a commitment to record, or a representation that an artist has approved or will approve a song.

Tinpan is passive software infrastructure. It transmits messages and provides a dashboard. It does not evaluate deal terms, advocate, broker, represent either party, exercise negotiating authority, give legal advice, determine whether terms are favorable, or bind any person. Tinpan is not an agent or manager and does not procure, offer, promise, or attempt to procure employment or engagements. Each participant makes its own decisions and should retain independent legal, business, and tax advisers.

Tinpan charges zero procurement fees or commissions to writers. Any fee charged to a desk or commercial entity will be governed strictly by an independent, separately executed commercial agreement entered into prior to the transaction, framed as platform access and workflow software licensing, never a commission. If a writer later elects publishing or administration services, those services will be governed by a separate written agreement with a separately identified entity.

13. Paid features.

Some features may require payment (for example, a Pro tier for writers). Prices, recurring-billing authorization, billing interval, renewal, cancellation mechanics and effective date, taxes, price-change notice, failed-payment handling, and the applicable refund policy will be presented clearly at purchase and will comply with the California Automatic Renewal Law and similar statutes. Subscriptions can be canceled in account settings. Paid features never affect a song's position in a bucket.

14. Product changes; beta features.

Tinpan may add, change, or remove features; change scoring, preview lengths, storage or submission limits; discontinue, merge, or restrict buckets; modify eligibility; and run tests and experiments — provided that rights granted for an existing submission remain governed by the Submission Agreement version accepted when that submission was made. Features designated beta, experimental, preview, or early access are provided with reduced warranties and may change or end at any time.

Tinpan may review, flag, suspend, edit, or remove any brief or submission reported by users or identified by automated systems, at its sole discretion, with or without notice, and without obligation to provide reasons, status updates, or an appeal channel. Reporting a brief creates an internal operational record and imposes no duty or liability on Tinpan to act. Copyright and other intellectual-property claims must use the DMCA or applicable rights-holder process, not the in-app brief-report control.

15. Third-party services.

Tinpan may integrate with, link to, or accept links from third-party services (hosting, payments, authentication, audio analysis, email, generation platforms, and others). Tinpan is not responsible for third-party services' availability, terms, or conduct, and your use of them is governed by their own terms.

16. Suspension and termination.

You may close your account at any time. We may suspend or terminate accounts, remove content, or restrict features for violations of these Terms, the Submission Agreement, Desk Terms, or law, or to protect users, artists, or the platform. The moderation discretion and report treatment stated in §14 apply to these actions. Closing an account does not automatically cancel an active Hold or another surviving transaction obligation, and the Submission Agreement's terms on retained records survive as stated there. Sections that by their nature should survive (including intellectual property, records, releases, disclaimers, limitations of liability, indemnity, and dispute resolution) survive termination.

17. Intellectual property; platform license.

Writers keep their compositions, as stated in the Submission Agreement, which grants Tinpan the operational license for submitted material; nothing in this section adds rights in submitted songs beyond that agreement. Tinpan Inc. and its licensors own the platform, including software, design, text, marks, and the compilation and presentation of platform data. We grant you a limited, revocable, nonexclusive, non-transferable license to use Tinpan as intended. You may not copy, modify, or create derivative works of the platform. Feedback or suggestions you send about the platform may be used by Tinpan without restriction or compensation; this does not apply to your submitted compositions.

18. Disclaimers.

Tinpan is provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted or error-free operation, that any song will be heard, held, or cut, that any desk will act on anything or has authority to execute deals, or any particular outcome. We are not responsible for the conduct of users, artists, desks, or third parties, or for decisions any user makes in reliance on bets, sorting, badges, logs, or other platform signals. No advice or information obtained through Tinpan creates any warranty. This section does not replace Tinpan's obligation to use reasonable safeguards as described in the Privacy Policy.

19. Limitation of liability.

To the fullest extent permitted by law, Tinpan and its affiliates, officers, directors, employees, and agents are not liable for indirect, incidental, consequential, special, exemplary, or lost-profit damages arising from or relating to Tinpan, including loss or corruption of submissions, unauthorized account access, decisions made in reliance on platform signals or records, interactions or transactions between users, or third-party services. Tinpan's total aggregate liability for all claims relating to Tinpan will not exceed the greater of (a) the fees you paid us in the twelve months before the event giving rise to the claim or (b) $500. For a claim arising from Tinpan's failure to use reasonable security that directly results in unauthorized disclosure of your unreleased full-length composition or demo, the preceding floor is $2,500 per claimant. These limits do not apply to Tinpan's fraud or willful misconduct, gross negligence to the extent liability for it cannot lawfully be limited, or Tinpan's unauthorized commercial exploitation of your composition, and nothing limits liability that applicable law does not permit Tinpan to limit. The parties intend this section to allocate risk, not to waive a nonwaivable statutory remedy.

20. Indemnity.

You will defend, indemnify, and hold harmless Tinpan Inc., its affiliates, and their respective officers, directors, employees, and agents against third-party losses, claims, liabilities, damages, and reasonable legal costs arising from your breach of these Terms, the Submission Agreement, or the Desk Terms, your content (including any claim of copyright infringement, voice misappropriation, or right-of-publicity violation), or your violation of law or third-party rights. This indemnity does not apply to the extent a claim arises from Tinpan's own independent conduct outside the scope of the rights and authorizations you granted.

Tinpan will promptly notify you of a claim subject to indemnification, but delay reduces your obligations only to the extent it materially prejudices the defense. Tinpan may elect to control the defense with counsel reasonably acceptable to Tinpan, and you will provide reasonable cooperation; Tinpan may participate with counsel of its choosing at its own expense. You may not settle a claim without Tinpan's prior written consent if the settlement admits wrongdoing by Tinpan, imposes a nonmonetary obligation on Tinpan, requires Tinpan to pay any amount, or does not provide Tinpan a complete and unconditional release; Tinpan will not unreasonably withhold consent to a settlement that provides a complete release and imposes no admission, payment, or nonmonetary obligation on Tinpan.

21. Dispute resolution; individual arbitration.

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES BINDING INDIVIDUAL ARBITRATION OF MOST DISPUTES AND WAIVES JURY TRIALS AND CLASS ACTIONS. YOU MAY OPT OUT WITHIN 30 DAYS.

Informal notice. Before starting arbitration, a claimant must send an individualized written notice describing the claimant, account email, facts, requested relief, and a good-faith settlement demand to hello@tinpan.ai (Tinpan will send its notice to your account email). The parties will attempt in good faith to resolve the dispute for 30 days after receipt. Any limitations period is tolled during that period.

Agreement to arbitrate. Except for an individual claim that qualifies for small-claims court and the limited court relief stated below, you and Tinpan agree to resolve by binding individual arbitration any dispute or claim arising out of or relating to your use of Tinpan, these Terms, a submission made through Tinpan, or services provided under these Terms. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement. California substantive law governs the underlying claim where applicable.

Administrator and rules. The American Arbitration Association (AAA) will administer the arbitration. Its Consumer Arbitration Rules apply when the claimant used Tinpan primarily for personal, family, or household purposes; its Commercial Arbitration Rules apply when the claimant used Tinpan primarily for business or professional purposes, subject in each case to AAA's authority to apply the proper rules. The arbitration may occur by documents, telephone, video, or in person as the applicable rules and law permit. A consumer may choose any hearing location required by the Consumer Arbitration Rules or applicable law; a business hearing will take place in Los Angeles County, California, unless the parties agree otherwise.

Fees. For consumer disputes under AAA rules, the consumer's filing fee is capped at the AAA consumer threshold and Tinpan pays all administrative and arbitrator fees beyond it. B2B and desk commercial arbitrations use standard AAA Commercial fee-splitting. Tinpan will pay all arbitration fees that it is required to pay under applicable law and governing AAA rules to ensure this agreement remains fully enforceable. Each party otherwise bears its own attorneys' fees unless a statute, the governing rules, or the arbitrator authorizes an award.

Authority. Except for a dispute about the enforceability of the class-action waiver, representative-action waiver, or coordinated-filing procedures, the arbitrator has exclusive authority to resolve disputes concerning the interpretation, scope, applicability, enforceability, or formation of this arbitration agreement. A court of competent jurisdiction decides disputes about the listed waivers and coordinated-filing procedures.

Small claims and emergency court relief. Either party may bring an individual action in a court of competent small-claims jurisdiction if the action remains only in that court. Either party may seek emergency injunctive relief in a court of competent jurisdiction to protect intellectual property or prevent unauthorized data disclosure while the merits proceed in arbitration. Seeking that limited relief does not waive arbitration of the merits.

Individual relief only. You and Tinpan waive trial by jury. Claims may be brought only on an individual basis and not as a plaintiff or class member in any class, collective, coordinated, consolidated, or representative proceeding, except to the extent applicable law makes a particular waiver unenforceable. The arbitrator may award relief only to the individual claimant and only to the extent necessary to resolve that claimant's individual claim.

Mass-arbitration protocol. If 25 or more substantially similar demands are filed by the same or coordinated counsel, the claims will proceed in sequential batches. Stage 1: 20 bellwether claims, 10 selected by claimants and 10 selected by Tinpan, will proceed to final awards. Stage 2: the parties will participate in mandatory mediation lasting 60–90 days toward a global resolution. Stage 3: any remaining claims will proceed in staged batches of 20–50. All statutes of limitations and filing deadlines are expressly tolled for claimants awaiting subsequent batches. If this batching protocol is found unenforceable, it is severed while the individual arbitration mandate survives.

Unavailable administrator. If AAA is unavailable or unwilling to administer the arbitration consistently with this agreement, the parties will select another nationally recognized provider; if they cannot agree, either party may ask a court to appoint an arbitrator under 9 U.S.C. §5. The arbitration will remain individual.

Thirty-day opt-out. You may opt out of this arbitration agreement by emailing hello@tinpan.ai within 30 calendar days of account creation. Your notice must include your legal name, username, and unequivocal intent to opt out. No other hurdles apply. Opting out does not affect other Terms or your access to Tinpan.

Severability and survival. If part of this section is unenforceable, it will be severed to the minimum extent possible, except that if the individual-action requirement is unenforceable for a claim, that claim will proceed in court after any arbitrable claims are completed. This section survives account closure.

Governing law and venue. These Terms and any dispute arising out of or relating to Tinpan are governed by California law, without regard to conflict-of-law principles, except to the extent federal law governs or preempts. For claims not required to be arbitrated, the parties consent to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California, except where applicable law permits or requires another forum.

22. Changes.

We may update these Terms. Material changes will be notified in the product or by email with an effective date and apply prospectively; continued use after the effective date constitutes acceptance, except that material changes to §21 (dispute resolution) or to the licenses granted in your content require your affirmative in-product acceptance before they apply to you. Rights granted for an existing submission remain governed by the Submission Agreement version accepted when that submission was made, except where you expressly accept different treatment. Tinpan records account-creation clickwrap acceptance of these Terms, including the account, version, timestamp, and IP address. Tinpan records each acceptance of the Submission Agreement, including the version and time accepted; that acceptance also creates a contemporaneous record of affirmative acceptance of these Terms and the §21 Arbitration Agreement.

23. Miscellany.

These Terms, the Submission Agreement, and the Desk Terms, where applicable, are the entire agreement between you and Tinpan about the platform. The Privacy Policy is incorporated as a notice of our data practices and for purposes of the consents described in it. If a provision is unenforceable, the rest remains in effect. Failure to enforce is not waiver. You may not assign these Terms; we may assign them in connection with a merger, reorganization, asset sale, or by operation of law. Notices to you may be given in-product or by email; notices to us go to hello@tinpan.ai.
